This agreement is between BotSailor and the White-Label Reseller (Reseller/Partner).

Reseller Role

Reseller is a white-label platform user and distributor, not the system owner.

Hosting, servers, database, security, maintenance, compliance enforcement, uptime, and technical support are fully handled by the Provider.

Brand & Domain Restrictions

Reseller must not register or use any domain/subdomain that contains the word botsailor, bot-sailor, bot sailor, botsailorapp or similar confusing spellings.

Violation → Domain/API access disabled or account suspended.

Prohibited Bot Operations

Reseller must not operate bots for:

  • • Illegal business under Bangladesh or international law,
  • • Included but not limited to Scams, phishing, fraud, malware, hacking tools, gambling or adult services.

Detection may result in bot or domain communication blocker activation.

Customer API & Config Ownership

Reseller is fully responsible for managing:

  • • Their own customer`s WhatsApp Cloud/Graph API keys, webhook configs, app tokens, integration APIs (Shopify, WooCommerce, Telegram, Facebook, Instagram, AI),
  • • Bot settings, auto-label logic, delays, sequences, broadcast usage, and client configurations inside BotSailor UI/API.

Provider does not claim ownership of reseller client API keys/configs, but may disable bot communication if platform/provider rules or Meta/WhatsApp guidelines are violated.

Distribution & Competition Clause

Reseller must not:

  • • Build or promote any competing WhatsApp/multi-channel chatbot SaaS product using BotSailor system or backend
  • • Reverse engineer, decompile, or attempt to access the underlying platform code
  • • Sub-license the white-label platform to third parties without explicit written permission

Intellectual Property

All intellectual property rights in the BotSailor platform, including software, trademarks, logos, and proprietary technology, remain the exclusive property of BotSailor.

Reseller is granted a limited, non-exclusive, non-transferable license to use the white-label platform solely for the purpose of providing chatbot services to their own customers under their own brand. Reseller retains ownership of their brand name, logo, and customer data, but does not acquire any rights to the BotSailor platform or technology.

Data Protection & Privacy

Reseller is responsible for ensuring compliance with all applicable data protection laws (including GDPR, CCPA, LGPD) when processing their customers` personal data through the BotSailor platform.

Reseller must obtain appropriate consent and maintain privacy policies for their end customers. Reseller acts as Data Controller for their customer data, while BotSailor acts as Data Processor.

Reseller must promptly notify BotSailor of any data breach affecting their customers` data and cooperate in breach notification procedures.

Third-Party Platform Compliance

Reseller must ensure all bot operations comply with:

  • • WhatsApp Business Policy and Terms of Service
  • • Meta (Facebook) Platform Policies
  • • Instagram, Telegram, and other integrated platform policies
  • • All applicable messaging platform guidelines and restrictions

Violation of third-party platform policies may result in immediate suspension of bot access and reseller account.

Support & Service Levels

Provider provides technical support for platform infrastructure, uptime, and core functionality. Reseller is responsible for providing first-line support to their own customers.

Provider does not guarantee specific uptime percentages but strives to maintain high availability. Scheduled maintenance will be communicated in advance when possible.

Provider reserves the right to update, modify, or discontinue platform features with reasonable notice to resellers.

Termination

Either party may terminate this agreement:

  • • Provider may terminate immediately for violations of this policy, illegal activities, or threats to platform security
  • • Reseller may terminate by canceling their subscription and discontinuing use of the platform
  • • Upon termination, reseller`s access will be revoked and data may be deleted after a reasonable retention period

Reseller must export their customer data before termination if they wish to retain it.

Limitation of Liability

Provider is not liable for:

  • • Loss of data, profits, or business opportunities
  • • Service interruptions or downtime
  • • Third-party platform restrictions or policy changes
  • • Reseller`s misuse of the platform or violations of third-party policies

Provider`s total liability is limited to the amount paid by reseller in the 3 months prior to the incident.

Confidentiality

Reseller agrees to maintain confidentiality of any proprietary information, technical details, or business practices disclosed by Provider. This obligation continues after termination of the agreement.

Provider Safeguard Rights

Provider may take actions including:

  • • Disabling bot or API access
  • • Suspending reseller WL branding
  • • Restricting domain communication
  • • Terminating reseller access
  • • Legal steps if infrastructure or reputation is threatened

Dispute Resolution

Any disputes arising from this agreement shall be resolved through:

  • • First, informal resolution via support team
  • • If unresolved, final and binding arbitration under Bangladesh law

This agreement is governed by the laws of Bangladesh.

Changes to This Policy

Provider may update this Reseller Policy from time to time. Material changes will be communicated via email or platform notification. Continued use of the platform after changes constitutes acceptance of the updated policy.

Agreement Acceptance

By using BotSailor White-Label Reseller plan, Partner agrees:

  • • Reseller will not use any domain containing botsailor, operate bots for illegal or fraudulent businesses, redistribute platform source, or create competing SaaS using BotSailor technology.
  • • Reseller will manage their customers` API keys and configs responsibly and operate bots, labels, sequences, and WhatsApp broadcast campaigns without violating Meta or WhatsApp policies.
  • • Reseller will comply with all applicable laws, regulations, and third-party platform policies.
  • • Reseller will maintain appropriate data protection measures and privacy policies for their customers.
